Mentoring and Consulting Services

§ 1 · Scope

These Terms and Conditions apply to all mentoring and consulting services provided by Pablo Gomez Martin, operating under the name Ascuas, Kolumbusstrasse 7, 81543 Munich, Germany (hereinafter: “Provider”), to clients. By booking a session or package, the client accepts these Terms and Conditions.

§ 2 · Scope of Services

The Provider offers mentoring and consulting services focused on Human Centered Leadership, aimed at professionals and companies.

Sessions are conducted in person (Munich) or online (Google Meet). The language of delivery is German or English, as agreed.

Mentoring and consulting are not psychotherapy, medical treatment, or a substitute for professional psychiatric or psychological care. In cases of acute mental health crises, the Provider recommends seeking appropriate professional services.

§ 3 · Contract Formation and Booking

A binding booking is established by:

  • confirmation of an appointment via the booking system (cal.com),
  • a written agreement by email or calendar invitation, or
  • written confirmation of an individually agreed offer.

For corporate clients (B2B), the booking is made on behalf of the company. The company is the contracting party and is liable for payment of invoices.

§ 4 · Prices and Payment

Current prices are available at ascuas.de. Individual agreements are possible and will be confirmed in writing in advance.

All prices are net prices plus the statutory VAT of currently 19% pursuant to § 14 UStG (German VAT Act).

Billing is monthly. All sessions held in a calendar month are summarised in an invoice at the end of that month. Payment is due within 14 days of the invoice date.

In the event of late payment, the Provider reserves the right to suspend further sessions until the outstanding amount is settled. Statutory default interest applies pursuant to § 288 BGB.

§ 5 · Cancellation and No-Show Policy

Free cancellation: Cancellations are free of charge if received at least 24 hours before the scheduled appointment. The appointment can be rescheduled at no cost.

Short-notice cancellation (under 24 hours): Cancellations received less than 24 hours before the appointment will be charged at 50% of the session fee plus statutory VAT.

No-show: If a client fails to attend a scheduled appointment without prior notice, 100% of the session fee plus statutory VAT will be charged.

Exceptions: In the event of documented medical emergencies or officially ordered measures, the fee will be waived upon request. Clients are asked to notify the Provider as early as possible.

§ 6 · Cancellations by the Provider

If the Provider must cancel an appointment, clients will be informed as early as possible. The appointment will be rescheduled at no cost. Further claims by the client are excluded unless the cancellation is due to gross negligence or intent.

§ 7 · Confidentiality

All content of mentoring and consulting sessions is treated with strict confidentiality. The Provider will not share any information about clients with third parties.

Exceptions apply only in cases of:

  • explicit written consent of the client, or
  • immediate danger to the life of the client or third parties.

For corporate clients, the duty of confidentiality applies equally towards the commissioning company and third parties.

§ 8 · Technical Issues in Online Sessions

In the event of technical disruptions that make an online session impossible, a solution will be found jointly. A session that has begun and is interrupted due to technical problems on the Provider’s side will be rescheduled or credited on a pro-rata basis.

§ 9 · Disclaimer of Liability

The Provider is not liable for decisions made by clients on the basis of the mentoring or consulting services. Responsibility for one’s own actions remains at all times with the client or the commissioning company.

The Provider’s liability is limited to intent and gross negligence. Liability for lost profits or indirect damages is excluded.

§ 10 · Intellectual Property

All materials, concepts, and documents created by the Provider in the course of service delivery are protected by copyright. Sharing with third parties or commercial use requires the Provider’s explicit written consent.

§ 11 · Changes to Terms and Conditions

The Provider reserves the right to amend these Terms and Conditions with 30 days’ notice. Existing clients will be informed by email. The current version is available at ascuas.de.

§ 12 · Data Protection

The Provider processes personal data exclusively in connection with the initiation and performance of the mentoring and consulting relationship. The legal basis is Art. 6(1)(b) GDPR (contract performance) and Art. 6(1)(c) GDPR (statutory retention obligations).

Data collected includes: name, company name (B2B), address, email address, and content shared voluntarily during sessions.

Invoice-relevant data is retained for ten years in accordance with statutory retention obligations. All other personal data is deleted two years after the conclusion of the consulting relationship.

§ 13 · Governing Law and Jurisdiction

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Munich, insofar as the client is a merchant, legal entity under public law, or a special fund under public law.

§ 14 · Severability

Should any provision of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid one.
